Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the SINCOR Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will provide notice of material changes through email or a prominent notice on our Service. Your continued use after such changes constitutes acceptance of the modified Terms.

3. Account Registration and Responsibilities

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. The Service is intended for business use only.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Ensuring your account information is accurate and current

3.3 Account Types

We offer the following subscription tiers:

• Starter ($297): 15 AI agents, 1,000 tasks/month, 5 team members
• Professional ($997): 42 AI agents, 10,000 tasks/month, 25 team members
• Enterprise ($2,997): Unlimited agents and tasks, unlimited team members, white-label capabilities

4. Payment and Billing

4.1 Fees and Billing

• All fees are stated in USD and are non-refundable except as required by law
• Subscriptions are billed monthly or annually in advance
• We use PayPal for payment processing; you must comply with their terms
• Prices are subject to change with 30 days' notice to existing subscribers

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

4.3 Late Payment

If payment fails, we may suspend or terminate your access to the Service until payment is received. We reserve the right to charge late fees of 1.5% per month on overdue amounts.

6. Intellectual Property

6.1 Our IP

The Service, including all software, algorithms, AI models, design, text, graphics, and other content (excluding Your Content), is owned by SINCOR and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service subject to these Terms.

6.2 Your Content

You retain all ownership rights to data and content you submit to the Service ("Your Content"). You grant us a limited license to process, store, and analyze Your Content solely to provide the Service. We will not use Your Content to train public AI models without your consent.

6.3 AI-Generated Outputs

You own the outputs generated by our AI agents in response to your inputs, subject to our rights in the underlying Service. You are responsible for ensuring your use of AI-generated outputs complies with applicable laws and does not infringe third-party rights.

8. Service Availability and Modifications

8.1 Uptime and Availability

We strive to maintain high Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

8.3 Beta Features

We may offer beta or experimental features. These are provided "as is" without warranties and may be changed or discontinued without notice.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

9.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in conduct harmful to the Service or other users. We will provide notice when reasonably possible.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will delete Your Content within 30 days unless retention is required by law. Provisions that by their nature should survive termination (including IP rights, disclaimers, and limitations of liability) will survive.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINCOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM USE OR INABILITY TO USE THE SERVICE
• DAMAGES ARISING FROM ERRORS, INACCURACIES, OR HARMFUL CONTENT IN AI OUTPUTS
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless SINCOR and its affiliates from and against all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content and use of AI-generated outputs
• Your violation of applicable laws or regulations

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and SINCOR regarding the Service.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in an embargoed country or on any government restricted party list.
